Terms of Service
Effective 27 October 2026
1. Who we are
Draftbench is operated by Tanzeel Labs LLC, a limited liability company registered in the State of Delaware, USA, with its registered address at Delaware, United States of America ("we", "us"). These terms govern your use of the Draftbench website and service (the "Service"). By creating an account or using the Service you accept these terms on behalf of yourself and, where applicable, the organisation you represent ("you").
2. Who may use the Service
2.1 The Service is intended for businesses, professionals and organisations. You must be at least 18 years old and able to enter into a binding contract.
2.2 If you accept these terms for an organisation, you confirm you have authority to bind it.
2.3 Where we offer the Service to consumers in a country, the additional consumer terms in the Refund and Cancellation Policy apply, and nothing in these terms limits rights that consumer law gives you.
3. What the Service does
3.1 The Service uses artificial intelligence to help you:
- draft contracts;
- review contracts;
- prepare risk memos;
- revise contracts based on comments;
- collect simple electronic signatures;
- track key dates.
3.2 Draftbench is not a law firm and does not give legal advice. AI output is generated automatically, may contain errors or be out of date, and is not a substitute for advice from a lawyer qualified in the relevant jurisdiction.
3.3 Each output shows the date to which its legal information is current ("law as of"). Laws change. You must check that any document is correct, complete and lawful for your purpose before you rely on, sign or send it.
3.4 Lawyer review is a separate, optional service. Where offered, it is provided by the licensed lawyer named on the document, only for the jurisdictions listed on our website, and under a separate engagement letter that sets out its scope. A document is a legal opinion only if it is signed by a named lawyer under such an engagement.
4. Your account
4.1 You must give accurate information and keep your login details secure. You are responsible for activity under your account.
4.2 Tell us promptly at support@draftbench.com if you suspect unauthorised use.
4.3 We may close accounts that have been inactive for 12 consecutive months, after giving 30 days' notice to your account email. You may export your data during the notice period.
5. Acceptable use
You must not use the Service to:
- prepare any document for an unlawful purpose, including fraud, money laundering, sanctions evasion, bribery, or employment terms that breach applicable law;
- infringe anyone's rights, including intellectual property and privacy;
- upload malware, or attempt to access other users' data, probe or overload the Service, or bypass usage limits;
- resell, sublicense or white-label the Service, or use it to build a competing product;
- present AI output as advice from a lawyer when no lawyer has reviewed it.
We may refuse to process a request that appears to breach this section.
6. Your content
6.1 You keep all rights in the briefs, documents, comments and other material you provide, and in the documents the Service produces for you ("Your Content").
6.2 You give us a limited licence to host, process and transmit Your Content only to provide the Service to you, as described in our Privacy Policy and Data Processing Agreement.
6.3 We do not use Your Content to train AI models, and our AI provider does not use it to train its models under its commercial terms.
6.4 You confirm you have the right to provide Your Content, including any personal data of other people in it.
7. Plans, fees and taxes
7.1 Plans, prices and included usage are shown on our pricing page. Your first contract is free and needs no payment card.
7.2 Paid plans renew automatically for the same period until cancelled. We email you at least 7 days before each renewal charge, with the amount and a link to cancel.
7.3 You can cancel at any time from your account page. Cancellation takes effect at the end of the current paid period. Refunds are governed by our Refund and Cancellation Policy.
7.4 All purchases are final and non-refundable. Credits consumed by running a draft, review, risk memo, revision or any other AI-assisted step are non-refundable, as the digital work product is delivered immediately upon generation and the processing cost is incurred at that point. Unused credits are also non-refundable; the free trial exists so you can evaluate the Service before purchasing. The only exception is a verified service failure (section 4.3 of the Refund Policy), which is remedied by re-running the affected step or restoring the credit to your account.
7.5 Prices exclude taxes unless stated. We charge VAT or similar taxes where the law requires. Business customers may provide a VAT number for reverse‑charge treatment where applicable.
7.6 If a payment fails, we will tell you and may suspend paid features until it is resolved.
8. Electronic signatures
8.1 Signatures collected through the Service are simple electronic signatures. We record signing events (time, IP address, verification code and document fingerprint) as evidence.
8.2 Some documents cannot be validly signed electronically in some countries, for example:
- property sales;
- powers of attorney;
- wills;
- negotiable instruments;
- documents that must be notarised or witnessed.
The Service will warn you where it recognises such a document. You remain responsible for meeting the execution formalities that apply to your document, including stamp duty, registration, notarisation and witnessing.
9. Our intellectual property
The Service, its software, design, templates and content (other than Your Content) belong to us or our licensors. You may use them only to use the Service under these terms.
10. Availability and changes
10.1 We aim to keep the Service available but do not guarantee it will be uninterrupted or error‑free. We may carry out maintenance, and will try to give notice of planned downtime.
10.2 We may improve or change features. We will not make a change that materially reduces the core Service during a paid period without giving reasonable notice. If a material reduction affects unused credits, we will credit your account accordingly.
11. Third‑party services
The Service relies on third‑party providers, including hosting, AI, payment and email providers, listed in our sub‑processor list. We are responsible for our choice of providers, but not for third‑party websites or services you choose to connect.
12. Warranties
12.1 We will provide the Service with reasonable care and skill.
12.2 Apart from that, and to the extent the law allows, the Service and all output are provided "as is". We do not warrant that output is accurate, complete, current or fit for a particular purpose, or that it will be enforceable in any jurisdiction.
12.3 We do not warrant that output does not infringe third-party intellectual property rights. AI-generated text may resemble existing published material. You are responsible for reviewing output before use, distribution or filing.
13. Liability
13.1 Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.
13.2 Subject to 13.1, we are not liable for: loss of profit, revenue, business, contracts, goodwill or anticipated savings; or any indirect or consequential loss.
13.3 Subject to 13.1, our total liability arising from or in connection with the Service in any 12‑month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
13.4 We are not liable for loss arising from your reliance on output that you did not check, or from a failure to meet execution formalities (section 8.2).
14. Your responsibility to us
You will compensate us for third‑party claims arising from your breach of section 5 or 6.4, or from Your Content infringing another person's rights.
15. Suspension and termination
15.1 We may suspend or close your account if you seriously or repeatedly breach these terms, or if required by law. We will give notice where reasonable.
15.2 You may close your account at any time.
15.3 After closure, you can export Your Content for 30 days. We then delete it as described in our Privacy Policy, unless the law requires us to keep it.
16. Changes to these terms
We may update these terms. We will give at least 30 days' notice of material changes by email or in the Service, and ask you to accept them. If you do not accept, you may cancel before they take effect.
17. General
17.1 Governing law and courts. These terms are governed by the law of the State of Delaware, USA. The courts of the State of Delaware have jurisdiction. Consumers keep any right to bring proceedings in their country of residence.
17.2 Entire agreement. These terms, together with the policies they refer to, are the entire agreement between us about the Service.
17.3 Assignment. We may transfer our rights to a company that takes over the Service, and will tell you. You may not transfer your rights without our consent.
17.4 Severability. If any part of these terms is invalid, the rest continues in force.
17.5 Language. These terms are written in English. If we provide a translation, the English version prevails.
17.6 Notices. We send notices to your account email. You send notices to support@draftbench.com.
17.7 Force majeure. Neither party is liable for failure to perform to the extent caused by circumstances beyond its reasonable control, including natural disasters, war, epidemics, government actions, internet outages, power failures, and failures of third-party services on which the Service depends (including AI providers and hosting platforms).
17.8 Dispute resolution. Any dispute arising from or in connection with these terms or the Service that cannot be resolved by negotiation within 30 days shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English, with the seat in Wilmington, Delaware. Each party bears its own costs. You agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated or representative action. This clause does not apply to consumers in the EU, EEA or UK, who retain the right to bring proceedings in their country of residence.
17.9 Arbitration opt-out. You may opt out of the arbitration and class-action-waiver provisions in section 17.8 by sending a clear written notice to support@draftbench.com within 30 days of first accepting these terms. The notice must include your full name, account email and a statement that you opt out of arbitration. If you opt out, disputes will be resolved in the courts of the State of Delaware. Opting out does not affect any other part of these terms.
